1. Acceptance of Terms
By accessing or using SmartAI Open ("the Service"), you agree to be bound by these Terms and our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it up to date. Notify us promptly of any unauthorized use.
3. Plans, Tokens & Billing
Paid plans include a monthly token allowance as described on our Pricing page. Fees are billed in advance and are non-refundable except as required by law or expressly stated. You may upgrade, downgrade or cancel at any time; changes take effect according to your billing cycle. We may change pricing with reasonable notice. Token allowances reset each billing cycle and do not roll over unless stated otherwise.
4. Acceptable Use
You agree to use the Service in compliance with our Acceptable Use Policy and all applicable laws. You may not misuse the Service, attempt to disrupt it, or use it to produce unlawful, harmful or infringing content.
5. Your Content
You retain ownership of the content you submit to the Service ("Your Content"). You grant us a limited license to process Your Content solely to provide and improve the Service, consistent with our Privacy Policy. You are responsible for ensuring you have the rights to submit Your Content.
6. Intellectual Property
The Service, including its software, design and trademarks, is owned by SmartAI Open or its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as necessary to use the Service.
7. AI Outputs
The Service uses AI models that generate content based on your inputs. AI outputs may be inaccurate, incomplete or unsuitable for your purpose. You are responsible for reviewing and verifying outputs before relying on them, and for ensuring your use complies with applicable laws and any third-party rights.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free or that outputs will be accurate. See our Disclaimer.
9. Limitation of Liability
To the maximum extent permitted by law, SmartAI Open will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid us in the twelve months preceding the claim.
10. Termination
We may suspend or terminate your access if you violate these Terms or use the Service in a way that creates risk or legal exposure. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.
11. Governing Law
These Terms are governed by the laws of the State of Oklahoma, United States, without regard to its conflict-of-laws principles. The exclusive venue for disputes will be the state or federal courts located in Oklahoma, to the extent permitted by law.
